Introduction

License
Openscope grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software for the purposes of managing your business operations. The license is granted on the condition that you comply with these Terms.
Restrictions

- Infringes any intellectual property rights or proprietary rights of Openscope or any third party;
- Violates any applicable laws or regulations;
- Harms, threatens, or otherwise infringes on the rights of any person or entity;

User Content
You are solely responsible for any content that you upload or transmit through the Software (“User Content”). You represent and warrant that you have all necessary rights and permissions to use and transmit the User Content through the Software. You grant Openscope a non-exclusive, worldwide, royalty-free, and perpetual license to use, reproduce, modify, adapt, publish, and distribute the User Content in connection with the provision of the Software.
Intellectual Property
The Software and its contents, including but not limited to text, graphics, logos, and software code, are the property of Openscope or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Software.
Privacy
Openscope collects and processes personal information in accordance with our Privacy Policy, which can be found on our website. By using the Software, you consent to the collection and processing of your personal information as set out in the Privacy Policy.
Termination
Openscope may terminate your license to use the Software at any time, with or without cause, and without notice. Upon termination, you must immediately stop using the Software and destroy all copies of the Software in your possession.

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY FOR INFORMATION, SERVICES, UNINTERRUPTED ACCESS, OR PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE SOFTWARE, INCLUDING WITHOUT LIMITATION THE SOFTWARE LICENSED TO YOU AND THE RESULTS OBTAINED THROUGH THE SOFTWARE. SPECIFICALLY, WE DISCLAIM ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION: 1) ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, USEFULNESS, OR CONTENT OF INFORMATION, PRODUCTS OR SERVICES; AND 2) ANY WARRANTIES OF TITLE, WARRANTY OF NON-INFRINGEMENT, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
IN NO EVENT SHALL OPENSCOPE, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE, EVEN IF OPENSCOPE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OPENSCOPE’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.
